Terms of service

Last updated 13 September 2026. Applies to Duly version 1.0.

These are the terms on which Duly is provided. They are meant to be read, so they are short and in plain words. Where they say something that limits what you can expect of Duly, that is because it is true of the platform Duly runs on, and section 5 is the most important part of this page.

1. Who you are agreeing with

Duly is made and provided by Dylan Kehr, doing business as Kehr & Co., operating from Georgia, United States (“I”, “me”). “You” is the person or organisation installing or paying for Duly. Contact: hello@kehrandco.com.

Installing Duly, or paying for it, means you accept these terms and the privacy policy.

2. What Duly is

Duly is a Google Sheets™ editor add-on. It reads a date column in your spreadsheet on an hourly schedule, sends reminder emails from your own Google account before those dates arrive, stops when a row matches the condition you set, and writes what it did to a log sheet in the same spreadsheet.

Duly is not a monitoring service, a compliance system, a CRM, a workflow builder, a document store or a backup. It does not store your spreadsheet.

3. Plans, price and billing

  • Free. One rule, up to 100 rows on each hourly check, the full run log, the watchdog, and a one-line “Sent with Duly” footer on the email. No account, no card, no time limit. The free tier is not a trial and does not expire.
  • Pro — $39 a year, for one Google account. Unlimited rules, 5,000 rows on each check, and no footer on the email.
  • Team — $119 a year, covering up to 10 Google accounts including the buyer’s, on one invoice. Each person keeps their own spreadsheets and their own rules; a Team seat gives someone the paid limits, it does not put them inside anybody else’s rules.

Support is answered within two business days on every plan, including free. It is not a paid feature and it is not listed as one.

Prices are in US dollars and exclude any tax that may apply. Payment is taken by Stripe. Subscriptions are yearly and renew automatically on their anniversary until cancelled. Cancelling stops the next renewal; the paid features stay until the end of the period already paid for, after which the add-on returns to the free tier and keeps working.

Refunds. If Duly is not what you expected, email me within 30 days of a payment and I will refund it in full, no argument and no form to fill in. After 30 days, ask anyway — if Duly failed to do what this page says it does, I will refund it.

Price changes. If the price of a plan changes, existing subscribers keep the price they are on for at least the following renewal, and I will email before any change takes effect.

4. Your side of it

  • You are the sender. Duly sends from your Google account, so every message it sends is your message, from your address, to recipients your rule names.
  • You must have a lawful basis to email the people in your spreadsheet. Duly is for reminders to people who expect them — clients, staff, members, yourself. It is not a marketing tool and it must not be used to send unsolicited bulk email.
  • You must not use Duly to send anything unlawful, deceptive or abusive, to impersonate anyone, or in a way that breaks Google’s terms, the Google Workspace Marketplace policies, or any anti-spam law that applies to you.
  • You are responsible for what your rules say and who they are addressed to. Duly shows you exactly what will be sent, to whom, before anything is turned on; nothing is scheduled until you have been through that preview.
  • Do not attempt to circumvent the licence check, resell Duly, or use it to build a competing service.

5. What Duly cannot promise, and why

Duly runs on Google Apps Script. Some of that platform’s limits cannot be engineered around, and pretending otherwise would be the dishonest thing to do:

  • Checks are hourly, not immediate. Add-on time-driven triggers fire at most once an hour. Duly never claims to be real time.
  • Sending is capped by your Google account, not by Duly. Apps Script allows roughly 100 recipients a day on a consumer Gmail account and roughly 1,500 a day on a Google Workspace account. Duly checks the remaining quota before a run, sends the most urgent rows first, and records the rest as deferred — it will never silently send part of a batch.
  • Triggers can stop firing without warning. Google stops a spreadsheet’s trigger when an account quota is exceeded, when the add-on is disabled for that document, and in other circumstances outside my control. This is why the watchdog exists: after a gap of more than 26 hours, the next successful run emails the spreadsheet’s owner to say the checks did not happen and roughly when. The watchdog can only report a gap once Duly runs again. It cannot report a gap that is still open, and nothing in the product claims it can.
  • Email delivery is Google’s. Whether a message reaches an inbox, and how fast, is between your Google account and the recipient’s mail provider.

Because of all of the above, Duly must not be the only control on a deadline whose being missed would be seriously consequential — legally, medically or financially. Use it as a reminder, alongside whatever else you would have done. This is stated in the product, in the listing and here, on purpose.

6. Availability and changes

Duly is provided as it is, with no guaranteed uptime. If the licence server is unreachable, the add-on keeps working and keeps sending — a billing outage is never allowed to become a reminders outage.

I may change or remove features. If a change removes something a paid plan was sold on, you may cancel and be refunded the unused part of the period. If Duly is ever discontinued, paid subscribers will be given at least 60 days’ notice and a pro-rata refund, and your data stays where it always was: in your own spreadsheet.

7. Suspension

I may suspend or end access for anyone using Duly to send unlawful or unsolicited bulk email, or attacking the service. In practice this means a licence stops resolving; the add-on then behaves as the free tier. I will say why, by email, if there is an address to say it to.

8. Your content

Your spreadsheet and everything in it stays yours. I claim no licence over it and do not receive a copy of it — see the privacy policy for exactly what is and is not transmitted.

9. No warranty

Duly is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. I do not warrant that Duly will be uninterrupted, error-free, or that any particular message will be sent or delivered at any particular time.

10. Limit of liability

To the fullest extent the law allows, I am not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business, or for any loss arising from a reminder that was not sent, was sent late, or was not delivered. My total liability for any claim relating to Duly is limited to the amount you paid for Duly in the twelve months before the claim arose — which for a free user is zero.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Where you deal as a consumer, your statutory rights are unaffected.

11. Google

Google Sheets™, Google Workspace™ and Google™ are trademarks of Google LLC. Duly is an independent add-on. It is not affiliated with, endorsed by, sponsored by or supported by Google LLC, and Google is not a party to these terms. Your use of Google Sheets and of your Google account is governed by your own agreement with Google.

12. Changes to these terms

If these terms change materially, the date at the top changes, the change is listed on the changelog, and paying subscribers are emailed before it takes effect. Continuing to use Duly after that is acceptance of the change.

13. Governing law

These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules, and the state and federal courts sitting in that state have exclusive jurisdiction, except that either of us may bring a claim in a small-claims court. If you deal as a consumer in another country, this does not deprive you of the protection of the mandatory law of the place you live.
